Welcome to Contracting Alliance Inc. ("Contracting Alliance," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the website located at contractingallianceinc.com (the "Site") and the services we provide through it (the "Services"). By accessing the Site, submitting a contact form, applying as a subcontractor, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
1. Who We Are
Contracting Alliance Inc. is a Florida corporation with its principal place of business at 1245 Madeira Key Way, Orlando, FL 32824. We connect roofing contractors ("Contractors") with pre-vetted roofing subcontractors ("Subcontractors" or "Crews") across the United States. The Site serves as an informational portal and lead-generation platform; the operational tools used by our contractors and crews reside on our separate application at crm.contractingallianceinc.com, which is subject to its own terms.
2. Eligibility
You must be at least eighteen (18) years old and legally able to enter into binding contracts to use the Site. By using the Site, you represent and warrant that you meet these requirements. The Site is not directed to individuals under 18, and we do not knowingly collect information from minors.
3. The Services We Provide
Through the Site, we offer:
- Informational content about our business, blog articles, testimonials, and gallery of completed roofing projects.
- Contact form for prospective clients, partners, and general inquiries.
- Subcontractor application — a four-step wizard for roofing crews interested in joining our network. Submitting an application does not guarantee acceptance; every application is reviewed manually and we may accept, request additional information, or decline at our sole discretion.
- Redirection to our CRM where accepted contractors and subcontractors manage their profiles, jobs, and communications.
4. Acceptable Use
You agree not to:
- Use the Site or Services for any unlawful purpose or in violation of any local, state, national, or international law.
- Submit false, misleading, or fraudulent information through any form (including using another person's identity, phone number, or company).
- Send spam, unsolicited commercial messages, or automated submissions.
- Attempt to gain unauthorized access to any portion of the Site, servers, or related systems (including by circumventing our anti-spam controls, rate limits, or authentication mechanisms).
- Scrape, crawl, harvest, or otherwise collect content or data from the Site by automated means without our prior written consent.
- Reverse-engineer, decompile, or disassemble any software components of the Site.
- Introduce malware, viruses, worms, or other harmful code.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Use the Site in a way that could damage, disable, overburden, or impair it or interfere with other users' ability to use it.
5. Subcontractor Applications
When you submit an application at /apply, you represent and warrant that all information you provide (personal details, company data, insurance status, coverage states, prior experience, and references) is true, complete, and accurate. Providing false information may result in denial of your application, termination of any future partnership, and — where applicable — legal consequences. Contracting Alliance reserves the right to verify any information you submit through third-party sources, prior clients, licensing boards, and insurance registries.
Acceptance into our network is at our sole discretion and is not guaranteed. Once accepted, additional terms may apply through separate agreements between you and Contracting Alliance (or its clients).
6. Intellectual Property
All content on the Site — including but not limited to text, graphics, logos, images, video, audio, downloads, and software — is the property of Contracting Alliance Inc. or its licensors and is protected by United States and international copyright, trademark, and other intellectual-property laws. Unauthorized reproduction, distribution, modification, public display, or public performance of any content is prohibited.
The "Contracting Alliance" name and logo are trademarks of Contracting Alliance Inc. You may not use them without our prior written permission.
7. Third-Party Content and Links
The Site includes testimonials from real customers and network members, along with a video testimonial hosted on Google Drive. Testimonials reflect the individual experience of the person quoted and are not a guarantee of similar results for other users. The Site also links to third-party platforms (Facebook, Instagram, and our CRM subdomain). We are not responsible for the content, privacy practices, or availability of any third-party site.
8. User Communications
When you send us a message through the contact form or submit a subcontractor application, we may respond by email or telephone using the contact details you provided. We may also send you administrative communications (for example, confirmation of receipt, request for missing information). If we later begin sending marketing communications, they will include an unsubscribe mechanism as required by the CAN-SPAM Act.
9. Disclaimers
The Site and Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of content. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses.
Any content published on the blog is for general informational purposes and does not constitute professional advice (legal, financial, insurance, or construction). Consult a qualified professional before acting on any information found on the Site.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Contracting Alliance Inc., its directors, officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages (including without limitation loss of profits, data, goodwill, business interruption, or other intangible losses) arising out of or in connection with your use of, or inability to use, the Site or Services — even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any and all claims arising from your use of the Site shall not exceed one hundred United States dollars (US$100).
11. Indemnification
You agree to indemnify, defend, and hold harmless Contracting Alliance Inc. and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Site or Services; (b) any information you submit; (c) your violation of these Terms; or (d) your violation of any right of a third party.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict-of-laws principles. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Orange County, Florida, and you consent to the personal jurisdiction of those courts.
13. Changes to These Terms
We may modify these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. If the changes are material, we will make reasonable efforts to notify you (for example, by a notice on the Site homepage). Your continued use of the Site after any change constitutes acceptance of the updated Terms.
14. Termination
We reserve the right to suspend or terminate your access to the Site or Services at any time, with or without notice, for any reason — including violation of these Terms. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.
